1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of intellinksea.com (the “Site”), operated by Intellinks East Africa Limited (“Intellinks,” “we,” “us,” or “our”), a company registered in Kenya (Registration No. CPR/2009/7331) with its place of business at Vision Plaza, 5th Floor, Suite 18, Mombasa Road, Nairobi.

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree, please discontinue use of the Site.

2. Who May Use the Site

The Site is intended for business and professional use by individuals aged 18 or older, acting on their own behalf or on behalf of an organization they are authorized to represent. By using the Site, you represent that you meet this requirement.

3. Nature of the Site and Content

The Site provides general information about Intellinks’ IT and cybersecurity products and services, our vendor partnerships, client sectors, and company information, and allows you to submit enquiries, quote requests, and job applications.

• Not a binding offer. Content on the Site (including service descriptions, product information, and any pricing indication) is provided for general informational purposes only and does not constitute a binding offer, quotation, or contractual commitment. Any actual engagement is subject to a separately negotiated and signed agreement, proposal, or purchase order.
• Third-party products. References to third-party vendors and products (e.g., Fortinet, CrowdStrike, Kaspersky, Red Hat, Dell, AWS, Microsoft, Veeam, and others) are for informational purposes. Those products are governed by the respective vendor’s own licensing terms, warranties, and policies. Intellinks makes no independent warranty regarding third-party products beyond what we expressly agree in a signed engagement.
• Accuracy. We aim to keep Site content accurate and current but do not warrant that all information (including statistics, client counts, or years of operation) is free of error at all times. If you notice an inaccuracy, please let us know at info@intellinksea.com.

4. Acceptable Use

You agree not to use the Site to:

• Violate any applicable law, including the Computer Misuse and Cybercrimes Act, 2018 (Kenya);
• Attempt to gain unauthorized access to the Site, our systems, or any connected network;
• Introduce viruses, malware, or other harmful code;
• Scrape, harvest, or extract data from the Site by automated means without our prior written consent;
• Submit false, misleading, or fraudulent information through any form (including quote requests or job applications);
• Interfere with or disrupt the Site’s operation or security; or
• Infringe the intellectual property, privacy, or other rights of Intellinks or any third party.

We reserve the right to restrict or terminate access for any user who violates this section.

5. Intellectual Property

All content on the Site — including text, graphics, logos, images, vendor/partner marks (used with permission or under fair descriptive use), and the design and structure of the Site itself — is owned by Intellinks or its licensors and is protected by Kenyan and international intellectual property law, including the Copyright Act (Cap. 130, Kenya) and the Trade Marks Act (Cap. 506, Kenya).

You may view and print pages of the Site for your own personal or internal business reference. You may not reproduce, republish, distribute, or create derivative works from Site content for commercial purposes without our prior written permission. Third-party vendor logos and trademarks remain the property of their respective owners.

6. Quote Requests, Enquiries, and Job Applications

• Submitting a quote request, contact form, or job application does not create a contractual relationship between you and Intellinks. It is an invitation for us to respond to you.
• We aim to respond to enquiries within one business day but do not guarantee any specific response time.
• Information you submit is handled in accordance with our Privacy Policy.
• We reserve the right to decline any enquiry, quote request, or application at our discretion.

7. Links to Third-Party Sites

The Site may contain links to third-party websites (e.g., vendor product pages, social media, Kaspersky trial downloads, Fortinet product matrices). These links are provided for convenience. We do not control, endorse, or accept responsibility for the content, accuracy, or practices of third-party sites, and your use of them is at your own risk and subject to their own terms and privacy policies.

8. Disclaimers

To the fullest extent permitted by Kenyan law:

• The Site and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any defects will be corrected.
• Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited under the Consumer Protection Act, 2012 (Kenya) or other applicable mandatory law.

9. Limitation of Liability

To the fullest extent permitted by law, Intellinks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of (or inability to use) the Site, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under Kenyan law.

This limitation does not apply to obligations arising under a separately signed services agreement, which will contain its own liability terms specific to that engagement.

10. Indemnity

You agree to indemnify and hold harmless Intellinks, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

11. Changes to the Site and These Terms

We may update, suspend, or discontinue any part of the Site, and may revise these Terms, at any time. The “Last updated” date above reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to Intellinks or other users.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. Failing resolution, disputes shall be subject to the exclusive jurisdiction of the courts of Kenya, or, where the parties agree, referred to arbitration under the Arbitration Act, 1995 (Kenya), seated in Nairobi.

14. General

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• No waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
• Entire agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Intellinks regarding use of the Site, and supersede any prior agreements regarding the Site specifically (this does not affect separately signed client services agreements).
